Crescentrating Application - Terms and Conditions

"CrPL" in these Terms and Conditions means Crescentrating Pte Ltd, a company registered under the Singapore laws (Company Registration No. 200822964G) and having its registered office at 1003 Bukit Merah Central #07-14, Inno.Centre Singapore 159836, the "Applicant" means the person who applies to have a Hotel rated by CrPL under its Crescentrating scheme. Crescentrating refers to the proprietary rating system of CrPL, which rates travel and tourism services and facilities on a scale of 1 to 7.

1. Applicant is fully entitled and authorised to enter into this agreement.

2. Once CrPL has received the application, Crescentrating Evaluation Committee will verify the information provided and if CrPL agrees to accept the Application, CrPL will grant the Hotel a Crescentrating (if relevant) and then publish the Hotel in the crescentrating.com website.

3. The decision as to a Hotel's Crescentrating is entirely at the discretion of the Crescentrating Evaluation Committee as designated by CrPL (the "Committee"). The Crescentrating criteria may vary from time to time and are only indicative of the services and facilities the Committee will consider and in no way restrict the Committee's discretion with respect to a Crescentrating.

4. From time to time CrPL's agents or representative will perform the evaluation and inspection of the Hotel, and submit report to the CrPL. CrPL will verify findings of the evaluation and inspection to the best of its abilities. In light of these findings and based on the information provided by the Applicant as well as on the basis of CrPL's independent analysis of the information provided by the Applicant, CrPL may change the Crescentrating granted to the Hotel.

5. Throughout the term of the Hotel's Crescentrating process, the Applicant gives permission to CrPL or its representatives to enter the Hotel site to perform the evaluation and inspection of the Hotel. The Applicant acknowledges and accepts that CrPL has no means of verifying the correctness of the information specifically provided by the Applicant except to the extent it is obvious upon such onsite inspection.

6. Once the Hotel is granted a Crescentrating (if relevant) and published in the website, if the listing package chosen by the hotel requires payment, the Hotel will pay the relevant fees to CrPL as per the terms and conditions of the Application. CrPL will issue a formal Crescentrating certificate to the hotel based on the listing package chosen, once the payment is received. All banking fees and commissions due for the transaction will be covered by the ordering party.

7. CrPL's Crescentrating certificate shall be deemed to be an expression of opinion expressed by CrPL in respect of services and facilities provided by the Hotel for the Muslim guests on a scale of 1 to 7, on the basis of the CrPL's Crescentrating criteria, with 1 being the lowest and 7 being the highest.

8. The Applicant understands that CrPL's rating is primarily dependent on the information that is either provided to it directly or which is gathered during the inspection and evaluation stage by CrPL. The Applicant undertakes not to withhold, conceal or misrepresent any information that is provided to or shared with CrPL, and shall ensure the integrity and authenticity of the information provided to CrPL to enable it to make an honest and fair evaluation of the Applicant and the Hotel's Crescentrating. The Applicant agrees that the information provided by it in respect of its ability to satisfy and meet the Crescentrating requirements is true and correct, up-to-date and accurately reflects the standards and practices of the Applicant Hotel.

9. When the Committee rates a Hotel under the Crescentrating scheme and any applicable registration and annual Crescentrating fee (or part thereof), as notified to the Applicant from time to time, has been or is paid to CrPL, then, throughout the term of the Hotel's Crescentrating, the Applicant shall be entitled:
9.1. to display the appropriate Crescentrating logo at the Hotel site .
9.2. to display Crescentrating logo on the Hotel's letterheads, brochures and Hotel's website in a manner which correctly indicates the Hotel's Crescentrating.

10. If there is any change in the Hotel's Crescentrating, Applicant shall, without delay, ensure that this is accurately reflected in any materials it produces or exhibits.

11. Crescentrating logo and the Icons are the exclusive property of CrPL and the Applicant obtains no rights to or in the said CrPL logo and Icons other than such rights as are set out in these and all other relevant terms and conditions or guidelines or are otherwise agreed in writing from time to time.

12. The Applicant hereby grants to CrPL, its assignees or licensees an irrevocable non-exclusive free of charge licence to store, use, merge, modify, publish and reproduce any details, information and photographs provided by or on behalf of the Applicant in relation to the Hotel for all purposes in any and all media throughout the world for the full period of any copyright existing in such including all renewals, reversions and extensions thereof. For the avoidance of doubt, CrPL shall not be subject to any obligations it may have under any other agreement, be obliged to exercise any of its rights under this clause.

13. Whilst CrPL will use all reasonable endeavours to ensure the accuracy of any entry relating to the Applicant's Hotel, the Applicant agrees that CrPL shall not be responsible for any errors or omissions in such entries, or for any failure to include any such entry in any publication, and that CrPL shall not be liable for any loss, damage, cost or expense incurred by the Applicant as a result of any such error or non-publication. CrPL shall, as a matter of goodwill, take all reasonable steps to rectify any errors made.

14. Without prejudice to clause 13, the CrPL's liability to the Applicant hereunder with regard to any claim or series of connected claims, whether in contract or otherwise, shall, be limited to the amount of the annual Crescentrating fee paid or payable by the Applicant to CrPL with respect to the Hotel concerned for the period during which the incident or series of connected incidents giving rise to liability occurred. The Applicant agrees to indemnify and hold harmless CrPL in the event of any claim(s) whether in contract or otherwise, which arises as a result of instances including where (i) the information provided to CrPL by the Applicant turns out to be incorrect, misleading or false and/or (ii) where the Applicant fails to adhere to the standards and procedures, or materially change such standards and procedures subsequently, which standards and procedures at the time of granting the Crescentrating by CrPL formed the basis on which CrPL issued its rating.

15. Throughout the term of the Crescentrating of the Hotel, the Applicant shall:
15.1. subsequent to the Applicant's payment of any applicable annual Crescentrating fee, and unless otherwise agreed, depending on the listing package chosen, pay annually to CrPL, within 30 days of receiving written intimation thereof from CrPL, such annual Crescentrating fee as from time to time prescribed by CrPL;
15.2. investigate promptly any complaint or dispute received by CrPL in regard to the Hotel, and to co-operate fully with CrPL in the resolution of such complaint or dispute;

16. Where applicable, each annual Crescentrating fee relates to a 12 month period commencing from the date the Hotel is first published on crescentrating.com website.

17. The registration and the annual Crescentrating fees (full or pro rata) shall be non-refundable.

18. The Applicant undertakes that if the Applicant defaults in paying as per clause 15.1 the dues to CrPL, the Applicant shall pay to a charitable institution nominated by CrPL, a sum of USD 300.00 for every delay of 3 months from the date when payment is due until the date of actual payment.

19. At all times CrPL reserves the right to make further evaluation and inspections of the Hotel and in the event that following such evaluation and inspection, or otherwise, the Committee, at its absolute discretion, alters or withdraws the Crescentrating, the Applicant shall observe and shall be bound by such decision.

20. The Hotel's Crescentrating will immediately terminate upon the notification by CrPL that the Committee has withdrawn the Hotel's Crescentrating.

21. CrPL shall be entitled to terminate the Hotel's Crescentrating forthwith by notice in writing:
21.1. Where the Applicant has not paid any applicable annual Crescentrating fee (or part thereof) which has accrued due to CrPL under these terms and conditions.
21.2. Following any material breach by the applicant of these terms and conditions.

22. The Applicant shall be entitled to terminate the Hotel's Crescentrating at any time on giving to CrPL at least 30 days notice in writing.

23. Any termination of an Hotel's Crescentrating, howsoever occasioned, is without prejudice to any right or liabilities then accrued, including, without limitation, CrPL's rights to any annual Crescentrating fee (or part thereof) which has been invoiced and in relation to which payment has not been received within the payment period set out in clauses 15 and 16 above or as otherwise agreed with CrPL.

24. On termination of CrPL's Hotel Crescentrating, howsoever caused, the Applicant shall immediately:
24.1. comply with the terms and conditions, in particular, unless otherwise notified by CrPL, at the Applicant's own expense remove all Crescentrating signs, logos and icons from the Hotel;
24.2. make no further use of, and withdraw from circulation, any documents or other material (including, but not limited to, letter heads, brochures and web sites) showing the Crescentrating logo or otherwise indicating an existing or past Crescentrating;
24.3. make no further representation, in any form that the establishment holds or has held a Crescentrating.

25. These terms and conditions supersede and replace any and all prior arrangements, whether oral or written, between CrPL and the Applicant relating to Crescentrating of the Hotel. No amendment to these terms and conditions shall be effective unless agreed in advance in writing by CrPL. CrPL reserves the right to amend these terms and conditions at any time on giving of 30 days notice in writing to the Applicant.

26. These terms and conditions are to be interpreted in accordance with the Singaporean law and subject to the non-exclusive jurisdiction of the Singapore courts.

27. Nothing in these terms and conditions shall confer, or is intended to confer, on any third party any benefit or the right to enforce any term.

28. CrPL shall not be deemed to be in default of any provision of these terms and conditions as a result of its inability to perform these terms and conditions because of circumstances beyond their control such as, without limitation, fire, flood, unavailability of materials, strike, national calamity, lockout, war, or any order or enactment of legally constituted authority of any country or any other cause which is beyond the reasonable control of CrPL.

29. CrPL may allow other people and organisations to use information that CrPL hold about the Applicant for the purpose of providing services that the Applicant has asked for, as part of the process of selling one or more of its businesses, or if CrPL has been legitimately asked to provide information for legal or regulatory purposes or as part of legal proceedings.

30. CrPL may monitor and record communications with the Applicant (including phone conversations and emails) for quality assurance, legal, compliance and training purposes.

31. The Applicant will notify without delay to CrPL any changes to the information provided by its agents or representative to CrPL in relation to or in connection with the Hotel.

32. The annual fees for 2012 as per clause 16 are for the : Free of Charge for Bronze Package; USD 500.00 for Silver Package and; USD 1,000.00 for Gold Package.

33. The annual fee will be paid as per clause 15 above. These fees are subject to change and will be notified to the Applicants from time to time of any such changes.

34. The Applicant confirms that it has agreed to all the above Terms and Conditions and that all information provided by it is correct and that the Hotel is fully entitled and authorised to make the Application and accept the Terms and Conditions herein.
